Terms of Service for JAM Commercial Cleaning Services LLC

These terms govern our commercial cleaning service agreements and establish the legal framework for our business relationship in compliance with US and Ohio state laws.

1. Introduction and Acceptance of Terms

These Terms of Service ("Agreement," "Terms") constitute a legally binding agreement between JAM Commercial Cleaning Services LLC ("Company," "we," "us," or "our") and the customer or client ("Client," "you," or "your") for commercial cleaning and related services.

By engaging our services, requesting a quote, or entering into a service contract with JAM Commercial Cleaning Services LLC, you agree to be bound by these Terms of Service. This Agreement applies to all cleaning services provided within our service areas of Ohio, Pennsylvania, West Virginia, Kentucky, Indiana, Michigan, and Illinois.

If you do not agree with any part of these terms, you must not use our services or enter into any agreement with our company.

2. Company Information and Services

2.1 Business Entity

JAM Commercial Cleaning Services LLC is a limited liability company organized under Ohio law, with principal offices located at 4449 Easton Way, Suite 200, Columbus, OH 43219.

2.2 Services Offered

We provide the following commercial cleaning and maintenance services:

  • Commercial Cleaning: Regular janitorial and maintenance cleaning services
  • Detail Cleaning: Comprehensive deep cleaning services
  • Post-Construction Cleaning: Cleanup services following construction or renovation projects
  • Facility Maintenance Operations: Ongoing facility maintenance and upkeep
  • Electrostatic Spray Disinfection: Advanced disinfection services using EPA-approved agents
  • Commercial Housekeeping: Routine housekeeping services for commercial properties
  • Warehouse Services: Specialized cleaning for warehouse and industrial facilities
  • Audits & Inspections: Quality assurance and compliance inspections

2.3 Service Areas

Our services are available in the following states: Ohio, Pennsylvania, West Virginia, Kentucky, Indiana, Michigan, and Illinois. Specific service availability may vary by location and will be confirmed during the quoting process.

3. Service Agreements and Contracts

3.1 Quote Process

All services begin with a comprehensive assessment and written quote. Quotes are valid for 30 days unless otherwise specified. Final pricing may be adjusted based on actual facility conditions and specific requirements discovered during initial service.

3.2 Contract Formation

A binding service contract is formed when:

  • You accept our written proposal or quote
  • You sign a service agreement
  • We begin providing services with your authorization
  • You make payment for services rendered

3.3 Service Specifications

Service specifications, frequencies, and requirements will be detailed in individual service agreements. All services will be performed during agreed-upon hours and in accordance with industry best practices and applicable regulations.

3.4 Modifications

Changes to service agreements must be made in writing and agreed upon by both parties. Additional services or scope changes may result in adjusted pricing.

4. Payment Terms and Billing

4.1 Payment Schedule

Payment terms will be specified in individual service agreements. Standard payment terms are net 30 days from invoice date unless otherwise agreed upon in writing.

4.2 Late Payments

Late payments may be subject to a service charge of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is less. Services may be suspended for accounts more than 60 days past due.

4.3 Disputed Charges

Any billing disputes must be submitted in writing within 30 days of the invoice date. Undisputed portions of invoices remain due according to standard payment terms.

4.4 Price Changes

We reserve the right to adjust pricing with 30 days written notice for ongoing service contracts. Price increases for multi-year contracts will not exceed 5% annually unless otherwise agreed upon.

5. Client Responsibilities and Obligations

5.1 Access and Security

Client must provide:

  • Safe and reasonable access to all areas requiring service
  • Security codes, keys, or access credentials as needed
  • Advance notice of any access restrictions or facility changes
  • Safe working environment free from known hazards

5.2 Preparation

Client is responsible for:

  • Removing or securing valuable items, sensitive documents, and personal belongings
  • Ensuring work areas are reasonably clear of obstacles
  • Providing adequate utilities (electricity, water, heating) necessary for service performance
  • Notifying us of any hazardous materials or special handling requirements

5.3 Communication

Client must promptly communicate any issues, concerns, or changes in requirements to ensure service quality and safety.

6. Insurance, Bonding, and Liability

6.1 Company Insurance

JAM Commercial Cleaning Services LLC maintains the following coverage:

  • General Liability Insurance: Spinnaker Insurance Company - Policy CSB00031319-00
  • Surety Bond: Bond Number 100680632
  • Workers' Compensation: BWC Ohio Number 80132961

6.2 Limitation of Liability

Our liability for any claim related to our services is limited to the lesser of:

  • The cost to re-perform the specific service in question
  • The amount paid for services in the 30 days preceding the incident
  • $10,000 per occurrence

6.3 Damage Claims

Any claims for damage must be reported within 24 hours of discovery. We will investigate all claims promptly and work to resolve issues fairly and in accordance with our insurance coverage.

6.4 Exclusions

We are not liable for:

  • Pre-existing damage or wear
  • Damage to items not properly secured by client
  • Consequential or indirect damages
  • Damage resulting from client's failure to follow our recommendations

7. Health, Safety, and Compliance

7.1 Safety Standards

We maintain strict adherence to:

  • OSHA workplace safety standards
  • EPA environmental regulations
  • Good Manufacturing Practices (GMP) certification
  • Industry best practices for commercial cleaning

7.2 Cleaning Products

We use EPA-approved cleaning agents and disinfectants. Material Safety Data Sheets (MSDS) are available upon request for all products used.

7.3 Emergency Procedures

Our staff are trained in emergency procedures and will follow client-specific emergency protocols when provided. We maintain 24/7 emergency contact availability for urgent situations.

7.4 Regulatory Compliance

All services are performed in compliance with applicable federal, state, and local regulations in all jurisdictions where we operate.

8. Contract Termination

8.1 Termination by Client

Clients may terminate service agreements with 30 days written notice. Early termination of multi-year contracts may be subject to cancellation fees as specified in individual agreements.

8.2 Termination by Company

We may terminate service agreements for:

  • Non-payment of invoices beyond 60 days
  • Breach of contract terms
  • Unsafe working conditions
  • Client conduct that endangers our staff

8.3 Effect of Termination

Upon termination, all outstanding invoices become immediately due, and we will return any client property in our possession.

9. Confidentiality and Non-Disclosure

We acknowledge that our staff may have access to confidential information during service provision. We agree to:

  • Maintain strict confidentiality of all client information
  • Implement appropriate security measures to protect sensitive data
  • Train all staff on confidentiality requirements
  • Not disclose any client information except as required by law

This confidentiality obligation survives termination of our service agreement.

10. Intellectual Property

All proprietary cleaning methods, processes, and procedures developed or used by JAM Commercial Cleaning Services LLC remain our intellectual property. Clients may not reproduce, distribute, or use our proprietary methods without written authorization.

11. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, severe weather, or acts of God
  • Government actions, regulations, or restrictions
  • Labor disputes or shortages
  • Supply chain disruptions
  • Pandemics or public health emergencies

We will make reasonable efforts to resume normal service as soon as possible following any force majeure event.

12. Dispute Resolution and Governing Law

12.1 Governing Law

This Agreement is governed by the laws of the State of Ohio, without regard to conflict of law principles. For services performed in other states, local state laws may also apply to specific service requirements.

12.2 Dispute Resolution Process

In the event of a dispute, the parties agree to:

  1. First attempt resolution through direct negotiation
  2. If unsuccessful, pursue mediation through a mutually agreed mediator
  3. As a last resort, resolve disputes through binding arbitration in Ohio

12.3 Jurisdiction

Any legal proceedings must be brought in the appropriate courts of Ohio, and both parties consent to the jurisdiction of such courts.

13. Modifications to Terms of Service

We reserve the right to modify these Terms of Service at any time. Changes will be effective:

  • Immediately for new service agreements
  • 30 days after written notice for existing contracts
  • Upon renewal of existing service agreements

Material changes that significantly affect existing contractual rights will require mutual agreement.

15.2 Entire Agreement

These Terms of Service, together with any signed service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter herein.
